Background:

This Data Processing Agreement should be read in conjunction with our Master Services Agreement.

(a) SME Tools provides services (the “Services”) to the Customer, pursuant to the agreement in place between them (the “Master Services Agreement” or “MSA“) of which this Data Processing Schedule forms part. In providing the Services, SME Tools Processes the Personal Data described in the MSA on behalf of Customer (“PI“).

(b) The parties acknowledge and agree that for the purposes of the Data Protection Legislation, SME Tools is a Processor acting on behalf of Customer.
